Terms of Service

Terms governing access to and use of Brutus.

1. Acceptance of Terms

By creating an account or using Brutus (the "Service"), you agree to these Terms of Service. They form a legally binding agreement between you and IRONFEL ("we", "us", "our"). If you do not agree, do not use the Service. You must be at least 18 years old to use the Service.

2. Description of Service

Brutus is a file validation tool. You upload spreadsheet files (Excel or CSV), apply validation rules, and download a results package. Uploaded file content is held only temporarily to run the validation you request. See Section 7 and our Privacy Policy for details.

3. Plans, Pricing & Billing

  • Free plan: available at no cost, with the limits shown in the Service. It lets you try Brutus before paying.
  • Pro plan: C$29.95 per month. Prices are in Canadian dollars. Applicable taxes, if any, are shown at checkout.
  • Payments are processed by our payment provider, Stripe. We never see or store your full card number.
  • Pro subscriptions renew automatically every month on the same date until cancelled.
  • Your monthly allowance of validation checks resets at the start of each billing period. One check is one rule applied to one cell. Unused checks do not carry over.
  • Failed payments: if a renewal payment fails, your Pro subscription is cancelled and your account moves to the Free plan immediately. You can subscribe again at any time.
  • On the Free plan, saved templates are locked, not deleted. They become available again if you return to Pro.

4. Cancellation & Refunds

  • You can cancel your Pro subscription at any time from the Account page ("Cancel Subscription").
  • After you cancel, Pro stays active until the end of the period you already paid for. Your account then moves to the Free plan. You can undo the cancellation before that date from "Manage Billing."
  • Payments are non-refundable, including for partial months and unused checks, except where required by law.

5. Prohibited Data — Read Carefully

You must not upload files containing:

  • Credit or debit card numbers, or any payment card data
  • Social Insurance Numbers (SIN), Social Security Numbers (SSN), or equivalent national identification numbers
  • Passwords, PINs, security codes, or authentication credentials of any kind
  • Banking information, including account numbers, routing numbers, or SWIFT codes
  • Protected health information or medical records
  • Driver's licence or passport numbers
  • Personal information belonging to minors
  • Any data you do not have the lawful right to process

You are responsible for the content of the files you upload.

6. Acceptable Use

You agree to use the Service only to validate business data files. You must not:

  • Reverse-engineer, decompile, or exploit the Service
  • Bypass, or attempt to bypass, plan limits or technical restrictions
  • Access another user's account or data
  • Upload malicious files, or content designed to disrupt or damage the Service
  • Use automated bots or scripts to interact with the Service
  • Resell, sublicense, or commercially redistribute the Service without our written permission
  • Use the Service for any unlawful purpose

7. Data & Privacy

  • Uploaded files and results are held in server memory and a temporary, encrypted cache hosted in Canada, only while your session is active. They are deleted automatically within 30 minutes and are never stored in our database.
  • We store the information needed to run your account: your email address, saved templates, plan and billing status, and usage records (such as row counts, error counts, column names, and the rules applied, never the values inside your cells).

  • You remain responsible for ensuring any data you upload complies with applicable privacy laws, including Quebec's Law 25 and PIPEDA.

8. No Warranties

Except as required by law, including the legal warranties provided under Quebec law, the Service is provided "as is" and "as available." We do not guarantee that validation results will be complete or error-free, that the Service will be uninterrupted, or that a validated file will be accepted by any particular system. You are responsible for verifying results before importing data anywhere.

9. Limitation of Liability

To the extent permitted by law, IRONFEL is not liable for indirect, incidental, or consequential damages, including loss of data, revenue, or business, failed imports into other systems, or reliance on validation results. Where liability cannot be excluded, our total liability is limited to the greater of C$100 or the fees you paid us in the three (3) months before the claim. Nothing in these Terms limits rights you have under Quebec's Consumer Protection Act or other laws that cannot be waived.

10. Indemnification

To the extent permitted by law, you agree to indemnify IRONFEL against claims, losses, and costs arising from your violation of these Terms or of the law, or from data you upload without the right to do so.

11. Intellectual Property

The Service, including its software, design, validation logic, and documentation, belongs to IRONFEL. You keep full ownership of the files you upload.

12. Changes to the Service and these Terms

  • We may improve, change, or remove features over time.
  • If we change these Terms or the price of your plan, we will notify you by email at least 30 days in advance, describing the change and when it takes effect.
  • If you do not accept the change, you may cancel your subscription before it takes effect, at no cost.

13. Termination

  • You may stop using the Service at any time. You can delete your account from the Account page or by emailing us.
  • We may suspend or close your account if you seriously violate these Terms. In that case, no refund is owed.
  • If we discontinue the Service entirely, we will give you reasonable notice and refund the unused portion of any prepaid period.

14. Governing Law & Language

These Terms are governed by the laws of Quebec and the federal laws of Canada that apply there. Disputes will be handled by the courts of Quebec, without limiting any rights you have under Quebec's Consumer Protection Act. These Terms are available in French and English. A French version was offered to you before you accepted this English version. Ces conditions sont offertes en français et en anglais. 15. Severability

If any part of these Terms is found invalid, the rest remains in effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, are the entire agreement between you and IRONFEL about the Service.
